Auto-Renewal Clause
What This Clause Does
Auto-renewal means your contract rolls over for another full term — often a full year — unless you give notice to cancel within a narrow window before the renewal date. Miss that window by a day and you could be locked in for another year.
This is one of the most common traps in SaaS contracts. The cancellation window is often only 30-60 days before renewal, and the renewal date isn't always prominently displayed. Set a calendar reminder the moment you sign. For enterprise contracts, negotiate a longer notice window and an obligation for the vendor to remind you before the deadline.
What This Looks Like in a Contract
"This Agreement shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least [30/60/90] days prior to the end of the then-current term."
Red Flags to Watch For
- Cancellation window shorter than 30 days
- No obligation on the vendor to send a renewal reminder
- Auto-renewal triggers a price increase with no prior notice
- Notice of non-renewal must be sent by specific method (certified mail only) making it easy to miss
Negotiation Strategies
Negotiate a vendor-sent renewal reminder at least 60 days before the deadline
Convert annual auto-renewal to month-to-month after the first year
